TERMS OF USE

Welcome to Munoclub Company Limited ("Company", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our website, software products, mobile applications, APIs, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

SERVICES PROVIDED

Munoclub Company Limited specializes in custom software development, mobile and web applications, SaaS products, and IT consultancy. The specific scope, deliverables, and payment terms for bespoke software development projects are governed by separate, standalone Software Development Agreements or Service Level Agreements (SLAs).

ELIGIBILITY & ACCOUNT SECURITY

• Age: You must be at least 18 years old (or the age of majority in your jurisdiction) to enter into a binding contract.

• Registration: To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information.

• Credentials: You are entirely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

INTELLECTUAL PROPERTY RIGHTS

• Our Proprietary Property: Unless otherwise stated in a specific client contract, all source code, software designs, algorithms, databases, website designs, audio, video, text, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or licensed by Munoclub Company Limited. They are protected by copyright, trademark, and trade secret laws under Ugandan and international jurisprudence.

• Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our public Services strictly for internal or personal business operations, subject to these Terms.

PROHIBITED ACTIVITIES

When using our software or Services, you agree not to:

• Reverse engineer, decompile, or disassemble any aspect of our proprietary software.

• Use our software to bypass security measures, scan vulnerabilities, or inject malicious code (malware, viruses, worms).

• Use the Services for any unlawful purpose or in violation of any local, national, or international laws.

• Resell, lease, or sub-license our software products unless explicitly authorized by a separate reseller agreement.

FEES AND PAYMENT

• Subscription/Licensing: Certain software products may require subscription fees or upfront licensing payments. All financial terms will be explicitly specified at the point of purchase.

• Taxes: All payments are subject to applicable local taxes (such as VAT in Uganda) unless a valid exemption certificate is provided.

LIMITATIONS OF LIABILITY & DISCLAIMERS

• "As-Is" Basis: Our public software and websites are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.

• No Interruption Guarantee: We do not guarantee that our software will be entirely error-free, uninterrupted, or free of bugs.

• Cap on Liability: To the maximum extent permitted by applicable Ugandan law, Munoclub Company Limited shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of your use of our software.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the Laws of the Republic of Uganda. Any dispute arising out of or in connection with these Terms shall first be subject to amicable negotiation. If negotiation fails, the dispute shall be referred to the competent courts of Kampala, Uganda.
